This document outlines the rules, guidelines, and agreements for using Agorah Solutions. Please review these terms carefully to understand your rights and our obligations.

By engaging our services, you confirm that you have read, understood, and agree to these Terms and Conditions. If you do not agree, please do not use our services.

ARTICLE 3
3. Project Scope and Deliverables
All project scopes, deliverables, timelines, and pricing will be agreed upon in writing before work begins. Any changes to the agreed scope may result in additional charges and revised timelines. Scope changes must be approved in writing by both parties.
ARTICLE 4
4. Payment Terms
A 50% deposit is required before work begins. The remaining 50% is due upon completion before final files are delivered. Monthly retainer fees are due on the 1st of each month. Late payments may result in work being paused. All prices are quoted in USD unless otherwise agreed.
ARTICLE 5
5. Refund Policy
Deposits are non-refundable once work has commenced. If a project is cancelled after work has begun, payment is due for all work completed to date. If Agorah Solutions is unable to deliver the agreed services, a full refund will be issued. Monthly retainer fees are non-refundable once the billing period has started.
ARTICLE 6
6. Client Responsibilities
The client agrees to provide all necessary access and information in a timely manner, review and provide feedback within 5 business days, ensure legal rights to all content and materials provided, and maintain confidentiality of any shared login credentials.
ARTICLE 7
7. Intellectual Property
Upon receipt of full payment, the client owns all custom work created for their project. Agorah Solutions retains the right to display completed work in its portfolio unless the client requests otherwise in writing.
ARTICLE 8
8. Confidentiality
Agorah Solutions keeps all client business information, credentials, and data strictly confidential. We will not share or disclose any client information to third parties without explicit written consent, except where required by law.
ARTICLE 9
9. Third-Party Platforms
Our services involve working with platforms including GoHighLevel, Make.com, and others. We are not responsible for changes, outages, or policy updates made by these platforms. Clients are responsible for maintaining their own platform subscriptions.
ARTICLE 10
10. Limitation of Liability
Agorah Solutions is not liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid for the specific service in question. We do not guarantee specific business results or revenue outcomes.
ARTICLE 11
11. Revisions
Each project includes up to 2 rounds of revisions at no additional cost. Additional revisions are charged at our standard hourly rate. Revisions must be requested within 7 days of deliverable submission.
ARTICLE 12
12. Termination
Either party may terminate the agreement with 14 days written notice. Upon termination, the client is responsible for all work completed to date. Access to accounts will be returned upon receipt of final payment.
ARTICLE 13
13. Governing Law
These Terms are governed by applicable international business law. Disputes will be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration.

14. Changes to Terms
Agorah Solutions reserves the right to update these Terms at any time. Clients will be notified of significant changes via email. Continued use of our services constitutes acceptance of updated terms.
